Terms of Service

1. Acceptance of Terms

By accessing and using the services of OEM Waterproof Bags Manufacturing ("Company," "we," "us," or "our"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

OEM Waterproof Bags Manufacturing provides:

• Custom manufacturing of waterproof bags and related products
• OEM and ODM services
• Product design and development consultation
• Quality control and testing services
• Logistics and shipping coordination

3. Order Process and Acceptance

3.1 Quotations

All quotations provided are valid for 30 days unless otherwise specified. Prices are subject to change based on material costs, specifications, and order quantities.

3.2 Order Confirmation

Orders are confirmed only upon receipt of:

• Signed purchase order or contract
• Required deposit payment
• Approved product specifications and samples

3.3 Minimum Order Quantities

Minimum order quantities (MOQ) apply to all products and vary by product type. MOQ requirements will be specified in quotations.

4. Payment Terms

4.1 Payment Schedule

Standard payment terms:

• 30% deposit upon order confirmation
• 70% balance before shipment
• Alternative payment terms may be negotiated for established customers

4.2 Payment Methods

Accepted payment methods include:

• Wire transfer (T/T)
• Letter of Credit (L/C)
• Other methods as mutually agreed

4.3 Late Payments

Late payment fees may apply for overdue accounts. We reserve the right to suspend production or shipment for accounts in arrears.

5. Product Specifications and Quality

5.1 Specifications

All products will be manufactured according to agreed specifications. Changes to specifications after production commencement may result in additional costs and delays.

5.2 Quality Standards

Products are manufactured to meet agreed quality standards and industry best practices. Quality control procedures are implemented throughout the production process.

5.3 Samples and Approval

Pre-production samples must be approved by the customer before mass production begins. Sample costs and shipping fees are typically borne by the customer.

6. Delivery and Shipping

6.1 Delivery Times

Delivery times are estimates and begin from the date of order confirmation and sample approval. Delays may occur due to factors beyond our control.

6.2 Shipping Terms

Shipping terms will be specified in the purchase order. Common terms include:

• FOB (Free on Board)
• CIF (Cost, Insurance, and Freight)
• DDP (Delivered Duty Paid)

6.3 Risk of Loss

Risk of loss transfers to the customer according to the agreed shipping terms.

7. Intellectual Property

7.1 Customer IP

We respect customer intellectual property rights and will not reproduce or distribute customer designs without authorization.

7.2 Company IP

Our manufacturing processes, techniques, and proprietary designs remain our intellectual property.

7.3 Confidentiality

We maintain strict confidentiality regarding customer product designs, specifications, and business information.

8. Warranties and Disclaimers

8.1 Product Warranty

We warrant that products will be free from defects in materials and workmanship for a period of 12 months from delivery, subject to normal use conditions.

8.2 Warranty Limitations

Warranties do not cover:

• Normal wear and tear
• Misuse or abuse
• Modifications by third parties
• Damage from improper storage or handling

8.3 Disclaimer

Except as expressly stated, all products are provided "as is" without warranties of any kind, either express or implied.

9. Limitation of Liability

Our liability for any claim related to products or services shall not exceed the purchase price of the specific products involved. We shall not be liable for indirect, incidental, special, or consequential damages.

10. Force Majeure

We shall not be liable for delays or failures in performance resulting from acts beyond our reasonable control, including but not limited to:

• Natural disasters
• Government actions
• Labor disputes
• Material shortages
• Transportation delays

11. Cancellation and Returns

11.1 Order Cancellation

Orders may be cancelled before production begins, subject to cancellation fees for work already performed.

11.2 Returns

Custom-manufactured products are generally non-returnable unless defective or not conforming to specifications.

12. Governing Law and Disputes

12.1 Governing Law

These terms shall be governed by the laws of the People's Republic of China.

12.2 Dispute Resolution

Disputes shall be resolved through negotiation. If unsuccessful, disputes may be submitted to arbitration or appropriate courts in Quanzhou, Fujian Province, China.

13. Modifications

We reserve the right to modify these terms at any time. Material changes will be communicated to customers with existing orders.

14. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
